1. Acceptance of Terms

2. Services Description

Codenorix provides web development, mobile app development, UI/UX design, and software consulting services. Specific project scope, deliverables, timelines, and pricing will be outlined in individual project agreements or contracts.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements and specifications
• Supply necessary assets, content, and access credentials in a timely manner
• Provide prompt feedback on deliverables to avoid project delays
• Make payments according to agreed-upon schedules
• Respect intellectual property rights and confidentiality obligations

4. Payment Terms

Payment terms will be specified in your project agreement. Generally, we require:

• An initial deposit to commence work
• Milestone payments as specified in the project timeline
• Final payment before delivery of source code or final deliverables
• All payments are non-refundable unless otherwise specified in writing

5. Intellectual Property

Upon full payment, you will own the final deliverables and source code created specifically for your project. Codenorix retains ownership of:

• Pre-existing code libraries, frameworks, and reusable components
• General knowledge, processes, and methodologies
• Third-party open-source components and libraries

6. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the project. This includes but is not limited to source code, business strategies, client lists, and technical documentation. Confidentiality obligations survive the termination of the project.

7. Project Timeline and Delays

We strive to meet all project deadlines. However, timelines may be affected by:

• Delayed feedback or approvals from the client
• Changes to project scope (scope creep)
• Unforeseen technical challenges
• Third-party service dependencies

8. Revisions and Changes

Reasonable revisions are included in the project scope. Major changes that deviate from the original specifications may incur additional charges and timeline adjustments. Change requests must be submitted in writing.

9. Warranty and Support

We provide a warranty period for bug fixes and issues related to the original project scope. Extended support and maintenance plans are available separately. Warranty does not cover issues caused by:

• Unauthorized modifications to the code
• Third-party integrations or services
• Server or hosting environment issues
• Acts of nature or force majeure events

10. Limitation of Liability

To the maximum extent permitted by law, Codenorix shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid for the specific services in question.

11. Termination

Either party may terminate the agreement with written notice. Upon termination:

• Client will pay for all work completed up to termination date
• Codenorix will deliver completed work subject to payment
• Both parties will return confidential materials

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms shall be resolved in the courts of Multan, Pakistan.

13. Indemnification

You agree to indemnify and hold harmless Codenorix from any claims, damages, or expenses arising from your use of our services or violation of these terms.

14. Third-Party Services

Our services may involve third-party platforms, APIs, or services. We are not responsible for the availability, functionality, or terms of these third-party services.

15. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services constitutes acceptance of the modified terms.
